Scope

These terms govern quotations issued by Truemold Technology Private Limited, trading as Trumould, and orders accepted against them. They apply unless a signed supply agreement between us says otherwise, in which case that agreement prevails. A purchase order does not import the buyer’s own terms unless we have accepted them in writing.

Quotations and acceptance

Quotations are valid for 30 days and are based on the CAD, drawings, quantities, and material specified at the time of quoting. A change to geometry, tolerance, material, finish, quantity, or delivery date is a new inquiry and may change price and lead time. An order is formed when we issue an order acknowledgement.

Prices, taxes, and duties

Prices are quoted in the currency stated and exclude taxes, duties, and destination charges unless the Incoterm says otherwise. Where a quotation is based on a material price that moves materially between quotation and order, we will tell you before accepting the order rather than after.

Tooling: ownership and custody

Where the buyer pays for a tool in full, the tool is the buyer’s property from the point of final payment for it. Trumould retains custody for as long as it runs the parts and maintains it as set out below. On written request, and once all sums due are paid, the tool is released for collection or shipped at the buyer’s cost.

Routine maintenance, cleaning, and polishing during production are included. Wear items are replaced at cost. Damage caused by a change the buyer requested, by a material substitution the buyer required, or by mishandling after release is chargeable.

Tools are stored free of charge while a supply relationship is active. Where no order is placed for 24 months we will contact the buyer before taking any action; tools are never scrapped without written instruction.

Tolerances and inspection

Unless a drawing states otherwise, uncalled dimensions on molded parts are produced to DIN 16742 and on machined parts to ISO 2768 medium. Where a drawing states no tolerance at all, we will propose one in the design review rather than assume it. Parts are inspected to the sampling plan stated on the order acknowledgement, and first article reports are supplied where the order calls for them.

First article approval

Production quantities are run after the buyer approves the first article, in writing, against the agreed drawing. Where a buyer instructs production before approving the first article, the risk of a dimensional non-conformity in that batch passes to the buyer.

Delivery and lead time

Lead times run from the later of order acknowledgement, receipt of approved files, and receipt of any advance payment. Delivery terms follow the Incoterm on the quotation, FCA Delhi by default. Where transit is arranged by us, risk passes according to that Incoterm and not on arrival.

Defective production

If parts do not conform to the approved drawing and specification, tell us within 15 days of receipt with photographs and measurement data. We will replace the non-conforming quantity, or credit it, at our option. Our liability for a defect is limited to the value of the affected parts plus the inbound freight paid on them, and does not extend to loss of profit, downtime, recall cost, or consequential loss. Nothing in these terms limits liability that cannot be limited by law.

Buyer responsibilities

The buyer is responsible for the fitness of the design for its application, for the accuracy of the files supplied, for holding the rights to have the part made, and for any regulatory approval the finished product needs. We will raise manufacturability and material concerns in the design review; acting on them remains the buyer’s decision.

Confidentiality and intellectual property

Each party keeps the other’s commercial and technical information confidential. The buyer keeps all rights in its own designs. Where Trumould contributes tooling design, that tooling design is licensed to the buyer for the production of its parts. Neither party uses the other’s name or images publicly without written consent.

Payment

Payment terms are stated on the quotation and order acknowledgement. Tooling is normally invoiced in stages against agreed milestones. We may withhold delivery of parts or release of tooling while undisputed sums are outstanding.

Force majeure and governing law

Neither party is liable for delay caused by events outside its reasonable control, including natural events, port and carrier disruption, changes in export or import control, and interruption of power or utilities. The affected party will notify the other promptly and both will work to limit the effect.

These terms are governed by the laws of India and the courts at Delhi have jurisdiction, unless a signed supply agreement provides otherwise.
